These Terms of Service (the "Terms") are a contract between the company that operates Client Supply ("Client Supply", "we", "us"), and the business that creates an account or uses the Service ("Customer", "you"). The person who accepts these Terms for a business confirms they are authorized to bind it. The Acceptable Use Policy, the Data Processing Addendum and, if you join it, the Partner Program Terms are part of these Terms.
Read section 16 (disputes): it requires individual arbitration and waives class actions, unless you opt out within 30 days.
1. The Service, and who it is for
1.1 Client Supply is a software service for running a business's contacts, conversations, marketing, creative work, sales and reports, operated through a chat with an AI partner ("Aria") and AI agents and automations ("Valets", "routines", "workflows"), together with any websites, apps and APIs we provide (the "Service").
1.2 Business use only. The Service is for businesses, agencies, freelancers and other professionals acting for business purposes. It is not for personal, family or household use. You must be at least 18.
1.3 Where. The Service is offered mainly to customers in the United States. It is not offered at this time to customers established in the European Economic Area, the United Kingdom or Switzerland, and you may not use it to target people located there unless we agree in writing.
1.4 Beta and free features. Features we label beta, preview or free (including trials) are provided as is, may change or stop, and are excluded from any commitment in these Terms other than confidentiality and our handling of your data.
2. Accounts, workspaces and agencies
2.1 You are responsible for your account, for keeping credentials safe, and for everything done under your account by your team members, contractors and clients you invite, and by the AI agents and automations you set up or approve.
2.2 Workspaces and roles. You decide who joins your workspace and with what role. Owners and admins can change settings, connect accounts and export or delete data.
2.3 Agencies and client workspaces. If you manage workspaces for your clients ("Client Workspaces"), you are our customer for each of them: you are responsible for your clients' use of their workspaces, for having the right to put their data in the Service, and for making sure they follow these Terms. You may charge your clients as you like; we bill you. Credentials you share with a Client Workspace are used there on your instructions. Your clients have no claim against us under these Terms; their recourse is with you.
3. Your connected accounts ("bring your own")
3.1 Much of the Service works through accounts you connect: for example your Claude subscription or Anthropic API key, email (Google, Microsoft, Resend, Instantly), phone and SMS (TextGrid, Twilio, Vapi), Meta (Facebook, Instagram, Messenger, WhatsApp), payments (Stripe), creative and voice tools (Higgsfield, ElevenLabs, Gemini and others), and calendars, recording and storage tools ("Third-Party Services").
3.2 Their terms, their bills. Your use of each Third-Party Service is governed by your agreement with its provider, and you pay its fees directly. You authorize us to access and use each connected account on your behalf to do what you or your team ask, including through Aria, Valets and routines you set up. We do not resell Third-Party Services and do not mark up their fees.
3.3 Claude. AI features run on Claude through the connection of the person who starts or owns the work: each person may connect their own Claude subscription inside a workspace environment where they sign in directly with Anthropic, or the organization may connect an Anthropic API key. We never see or store Claude.ai credentials. You are responsible for using your Claude account within Anthropic's terms and usage limits; in particular a personal subscription is for the person who holds it and must not be shared. If Anthropic limits or ends access through your connection, the AI features that depend on it stop, and that is not a breach of these Terms by us.
3.4 Availability. Third-Party Services are outside our control. If a provider changes, limits, suspends or ends its service, your account or an integration (for example a carrier filtering messages, Meta revoking a permission, or a registration being rejected), we are not responsible for the consequences, and fees are not refunded for that reason.
3.5 Registrations. Some channels require registrations in your name (for example A2P 10DLC brand and campaign registration, toll-free verification, WhatsApp Business verification). The Service may help you prepare them; the information you submit must be true, and the registration is yours.
3.6 Your own sending domain for email. Campaign, marketing, sequence and conversation email goes out from your own connected mailbox, your own email sending service or your own sending domain. Our own email sender is used only for messages about your account and the Service (for example invitations, password resets, digests and our notices), never for email you send to your contacts. Until you connect your own sending domain or mailbox, those emails are not sent.
4. Your data and your responsibility for it
4.1 Customer Data means the data you or your team, clients or automations put into or collect through the Service, including contacts, leads, messages, call recordings and transcripts, files, voices, images and pages. You own it. You give us a worldwide, non-exclusive license to host, copy, process, transmit and display it only to provide, secure and support the Service for you, as described in the Data Processing Addendum ("DPA"). We do not sell Customer Data, use it to advertise to anyone, or use it to train AI models.
4.2 You are the one who decides. You decide whose data goes into the Service, how it was obtained, what you send, to whom, when, through which channel, and what you publish. As between you and us, you are the "business" or "controller" for Customer Data. You are the sender, caller and initiator of every message and call sent through the Service, including those drafted, scheduled or placed by Aria, Valets, workflows or other automations you configure or enable. We act on your instructions and do not choose your recipients, content or timing.
4.2A Automations. When you enable an automation, you authorize every message or call it sends within the scope you set, as if you sent it yourself. You are responsible for reviewing what you enable. The Service records your confirmation when you turn an automation on (who confirmed, when, and what was shown). A Valet that sends on its own sends only to the contacts in the segment or tag you chose for it.
4.2B AI drafts. AI-generated content is a draft you adopt when you send it or enable an automation that sends it.
4.3 Your promises. You represent and agree that:
(a) you have every right, notice and consent the law and the platforms require to collect and use Customer Data and to contact each person you contact through the Service, in the form required, including prior express written consent for automated marketing texts and calls and for calls with an artificial or AI-generated voice under the US Telephone Consumer Protection Act, the requirements of CAN-SPAM, state telemarketing and texting laws, and the rules of the carriers and of Meta; you keep proof of each consent and provide it to us on request;
(b) you will honor opt-outs and do-not-contact requests made by any reasonable means, and you will not re-add a person who opted out except as the law allows;
(c) you will follow the laws and rules that apply to your communications and pages, including the TCPA and FCC rules, the Telemarketing Sales Rule and do-not-call rules, state telemarketing and texting laws, CAN-SPAM, call recording consent laws, rules on disclosure of AI and bots, privacy and data protection laws, consumer protection and advertising laws, and the rules of carriers (including the CTIA guidelines), Meta, Google and other platforms;
(d) where required, you give notice that calls may be recorded, transcribed or handled by AI, and you obtain consent;
(e) you have the right to use every voice, face and likeness you upload, clone, imitate or use (section 6);
(f) your privacy notices and the notices on your pages accurately describe your use of the Service; and
(g) you will not put into the Service the data listed in section 3 of the Acceptable Use Policy.
4.4 Tools and defaults, not guarantees. Some protections always apply because they protect people and the infrastructure everyone shares: opt-outs (STOP and other opt-out replies, unsubscribe links, "stop calling me") are always honored, and the opt-out list is kept when a contact is deleted or imported again. Other features are default "Sending rules" that start on and that you may change in Settings: holding automated promotional texts and calls to contacts with no consent on record until you tell us where those contacts came from, a daytime window (8 a.m. to 8 p.m. recipient time) for automated promotional texts and calls, a "Reply STOP to opt out" line on the first promotional text, a recording announcement in the softphone, and an AI disclosure in the site chat widget. AI calls always open with a line set by the Service that names your business and says it is an AI assistant. Campaign email carries an unsubscribe link, one-click unsubscribe headers and your postal address. These are aids and defaults. You choose how to use them, they do not make your communications lawful, and you remain responsible for your communications, for the information you give the Service (such as where your contacts came from) and for any setting you change.
4.4A Contacts the Service finds for you. If you use the Service to find businesses or people (for example the lead finder or web research), you decide whether and how to contact them, and you verify the legal basis for doing so before you do.
4.5 Requests from people. If a person asks you to access, correct, delete or stop using their data, the Service lets you find, export and delete it. If they ask us, we will refer them to you where we can identify you.
4.6 Export and deletion. You can export your Customer Data at any time while your account is active from Settings. After your account ends we keep Customer Data for 30 days so you can export it, then delete it from active systems; copies in backups are deleted on the normal backup cycle (up to 35 days), unless the law requires us to keep something longer.
5. AI features
5.1 Output. Aria, Valets and other AI features generate text, images, video, audio, voices, summaries, classifications and suggested actions ("Output"). Output is produced by machine learning models, can be wrong, incomplete, offensive or similar to content made for others, and is not professional (legal, financial, medical or other) advice. Review Output before you rely on it or publish or send it.
5.2 Actions. When you ask Aria or set up a Valet, routine or workflow, the Service may take actions in your workspace and connected accounts, such as sending messages, publishing posts, booking, charging or changing records. Actions that you approve, that run under automations you configured, or that you ask for in chat are your actions. Some actions ask for approval first; you can require approval for more. Spending caps and approvals you set are honored by the Service but you remain responsible for checking them. Section 4.2A applies to every automation you enable.
5.3 Ownership of Output. As between you and us, you own the Output generated for you, subject to the terms of the AI and creative providers you use. We do not guarantee that Output is protected by copyright or does not resemble third-party material.
6. Voices, avatars and characters
6.1 You may clone a voice or create an avatar or character based on a real person only if that person is you or has given you permission for that use. The Service does not ask you to prove it when you upload a face or a voice: by uploading or using it, you take full responsibility for having that right. We may ask you for proof, and we may disable a voice, avatar or character if we receive a credible complaint.
6.2 Characters the Service invents (for example user-generated-content-style personas) are fictional. You must not present them as real customers, real reviewers or real people, or use them to make claims a real customer did not make.
7. Pages you publish
If you publish websites, funnels, booking pages, blogs or checkout pages with the Service, you are their publisher and are responsible for their content, for your own privacy notice and terms on them, and for any tracking, cookie or consent notices the law requires for the analytics and pixels you enable. We may show a small "Made with Client Supply" mark on them unless your plan or settings remove it.
8. Web research and social reading
The Service can read public web pages and public social profiles for you (for example research, brand import and competitor reading). You must use these features only for public information, for lawful purposes, and in line with section 4 of the Acceptable Use Policy. If you connect your own social accounts, you are responsible for using them within the platforms' terms. We may limit or turn off any source at any time.
9. Acceptable use and suspension
9.1 You will follow the Acceptable Use Policy.
9.2 We may suspend all or part of the Service for you (for example specific sends, numbers, automations or pages) without liability if: you breach the Acceptable Use Policy or section 4.3; a carrier, platform, payment processor or authority complains or threatens to restrict our accounts, numbers or apps because of your use; your use creates a security risk or legal exposure for us or other customers; or you do not pay. Where reasonable we tell you first and give you a chance to fix the problem; where the risk is immediate we act first and tell you promptly. We lift the suspension once the cause is resolved.
9.3 Shared infrastructure. Phone numbers, messaging registrations, apps, sending reputation and platform accounts are shared by everyone who uses the Service. To protect them, we may pause a campaign, a number or a channel, without liability, when we receive complaints or reports, a notice or request from a carrier, Meta or another platform, or an authority, or when opt-out or complaint rates are high. We tell you why and how to resume. We may cooperate with carriers, platforms and authorities, including by sharing information about the use in question.
10. Plans, trials, renewals, cancellation and refunds
10.1 Plans. Plans, prices and what each includes are on our pricing page and in Settings, Plan and billing. Prices are in US dollars and exclude taxes, which you pay where applicable.
10.2 Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price, and we charge the payment method on file, until you cancel. We show the price, the billing period and how to cancel before you subscribe, and we send you a receipt with the same information.
10.3 Free trial. If your plan starts with a free trial, we collect a payment method at signup. Unless you cancel before the trial ends, your subscription starts and we charge you at the end of the trial. Each organization gets one trial. We remind you before the first charge.
10.4 Cancel any time, online. You can cancel at any time in Settings, Plan and billing, in a few clicks, without contacting us. Cancellation takes effect at the end of the current billing period; you keep access until then and are not charged again.
10.5 30-day guarantee and refunds. If you are not satisfied, ask us within 30 days of your first subscription payment (monthly or annual) and we refund that first payment in full and end the plan. The guarantee applies once per customer and does not cover one-time services. Otherwise, fees are not refundable, including for partial periods, renewals, unused features or seats, or the actions of Third-Party Services, except where the law requires otherwise.
10.6 Price changes. We tell you at least 30 days before a price change affects your subscription; it applies from your next renewal after the notice. If you do not agree, cancel before that renewal.
10.7 Upgrades, downgrades and limits. Upgrades take effect immediately with a prorated charge. Downgrades take effect at the next renewal; if your usage exceeds the new plan's limits, some features may pause until you are within them. Usage limits (for example renders, storage, seats, client workspaces) are part of each plan.
10.8 Late payment. If a payment fails we retry and tell you. If it is still unpaid after 7 days your workspace becomes read-only until it is paid; your data is not deleted for that reason.
10.9 One-time services. One-time services (for example a paid consultation call) are described when you buy them, are not covered by the guarantee in 10.5 and are not refundable once delivered. Professional services we perform in your workspace and accounts for you are governed by a separate Services Agreement that you accept when you buy them.
11. Confidentiality
Each party will keep the other's non-public information confidential, use it only for this relationship, and protect it with reasonable care, except information that is public, already known, independently developed, or that must be disclosed by law (with notice where allowed).
12. Our property and feedback
The Service, its software, design, Aria and the other characters, the brand and all related rights belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription under these Terms. You may not copy, resell, or reverse engineer it. If you give us feedback, we may use it freely.
13. Disclaimers
THE SERVICE, OUTPUT AND THIRD-PARTY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT OUTPUT WILL BE ACCURATE, OR THAT MESSAGES WILL BE DELIVERED. WE DO NOT WARRANT THAT YOUR USE OF THE SERVICE COMPLIES WITH ANY LAW; THAT IS YOUR RESPONSIBILITY UNDER SECTION 4.
14. Limitation of liability
14.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
14.2 OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100 IF YOU HAVE NOT PAID ANYTHING.
14.3 The limits in 14.1 and 14.2 do not apply to your payment obligations, your obligations under section 15, or your breach of section 4.3, section 6 or the Acceptable Use Policy.
15. Your indemnity
15.1 You will defend us, our affiliates and our and their officers, employees and contractors against any claim, demand, investigation or proceeding by a third party (including a person you contacted, a carrier, a platform or a regulator) arising out of or relating to: Customer Data; messages, calls, recordings and content sent, made or published through your workspace (including by Aria, Valets and automations you set up or approved); voices, likenesses and characters you created or used; your Client Workspaces and your clients; or your breach of these Terms, the Acceptable Use Policy or the law; and you will pay the resulting damages, fines, penalties, settlements and reasonable legal fees. We will tell you promptly about the claim, let you control the defense (you may not settle in a way that admits fault for us or binds us without our consent), and cooperate at your cost.
15.2 Communications. Without limiting 15.1, you will defend, indemnify and hold us harmless against every third-party claim, demand, investigation or proceeding relating to your communications: messages and calls sent or placed through your workspace, the consents behind them, do-not-call and opt-out rules, call recording, and artificial or AI voices, including damages, statutory damages, fines, settlements and defense costs. For these claims we may choose our own counsel, at your cost, and you will not settle them without our written consent.
16. Disputes
16.1 Governing law. These Terms are governed by the laws of the US state where the company that operates Client Supply is organized and applicable US federal law, without regard to conflict-of-law rules.
16.2 Informal resolution first. Before starting a proceeding, a party must send a written description of the dispute and try in good faith to resolve it for 30 days.
16.3 Arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, by a single arbitrator, by video or in writing unless the arbitrator decides a hearing in person is needed. Either party may instead bring an individual claim in small claims court, and either party may seek an injunction in court to protect its intellectual property or confidential information.
16.4 No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding, and the arbitrator may not consolidate claims.
16.5 30-day opt-out. You may opt out of arbitration by writing to us from Settings, Help in the app within 30 days of first accepting these Terms, with your account email and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms. If you opt out, or if arbitration is unenforceable, disputes go exclusively to the state or federal courts of the US state where the company that operates Client Supply is organized, and each party waives trial by jury.
17. Term and termination
These Terms apply while you use the Service. You may end them by cancelling and closing your account. We may end them on 30 days' notice for any reason (refunding prepaid fees for the unused period), or immediately for a material breach not cured within 10 days of notice, or immediately for a breach of the Acceptable Use Policy that puts others at risk. Sections 4.1 (license limited to deletion), 4.6, 11 to 16 and 18 survive.
18. General
18.1 Changes. We may update these Terms. For material changes we give at least 30 days' notice by email or in the Service; the change applies from the next renewal after the notice or, if you have no renewal, 30 days after the notice. Continued use after that date means acceptance.
18.2 Notices. We send notices to the account owner's email; you send notices to us from Settings, Help in the app.
18.3 Assignment. You may not assign these Terms without our consent. We may assign them in a merger, reorganization or sale of the business, including to a successor entity.
18.4 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including failures of Third-Party Services, carriers and hosting providers.
18.5 Export and sanctions. You will not use the Service in breach of US export controls or sanctions.
18.6 Entire agreement. These Terms (with the documents they incorporate) are the whole agreement on their subject and replace earlier understandings. If a provision is unenforceable, the rest stays in force. Failure to enforce is not a waiver. There are no third-party beneficiaries.
